("DFR") is a
specialty finance company currently operating as a Real Estate Investment
Trust ("REIT") that invests in real estate-related securities, commercial
mortgage backed securities, bank loans, leveraged finance securities
and "alternative" assets. DFR purchased Deerfield & Company LLC and its
wholly owned subsidiary, Deerfield Capital Management LLC ("DCM"), on
December 21, 2007. DCM is an asset manager dedicated to serving the
needs of institutional investors by providing fixed-income investment
strategies through investment funds, structured vehicles and separately
managed accounts. The Deerfield organization, based in Chicago, Illinois,
began operating in 1993. As of November 1, 2007, DCM had approximately 135
employees and $15.4 billion in assets under management.
